Manner of representation

Each partner is entitled to independently (one-person) represent the company in matters related to the ongoing maintenance of the company, in particular to: a) settle public-law liabilities in the name of the company (taxes, insurance contributions, administrative fees and other public-law receivables), b) perform acts leading to the acquisition of a right or the incurring of a liability with a gross value below PLN 1,000.00 (in words: one thousand zlotys 00/100), c) conduct negotiations with the company's clients and contractors, provided that making a binding declaration of will in the name of the company requires compliance with the principle set out below. Representation of the company in the remaining scope, in particular signing written agreements with clients and incurring liabilities in the name of the company other than those indicated above, is joint – it requires the joint action of both partners.
