Manner of representation

For declarations of will on behalf of PSDG, including entering into agreements, granting powers of attorney and incurring property obligations, the joint action of two members of the management board, including the President or Vice-President, is required. In non-property matters, PSDG may be represented independently by the President or Vice-President, unless the management board decides otherwise. The management board may grant powers of attorney to conduct specific matters. The power of attorney is granted in accordance with the rules of representation requiring the joint action of two members of the management board, including the President or Vice-President. In an agreement between PSDG and a member of the management board and in a dispute with such member, PSDG is represented by a member of the audit committee designated by a resolution of that committee or by an attorney-in-fact appointed by a resolution of the general meeting.
