Manner of representation
In the case of a one-person management board, the sole member of the management board is authorised independently to submit all declarations of will and knowledge on behalf of the company and to represent the company. In the case of a multi-member management board: a) in matters in which the value of the right or obligation does not exceed PLN 10,000, each member of the management board is authorised to represent the company independently; b) in matters in which the value of the right or obligation exceeds the amount specified in point a), joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required.
