Manner of representation

1. Each member of the management board is authorised to represent the company, make declarations of will and sign, on behalf of the company, sales agreements for goods, agreements for the provision of services and agreements concerning current commercial obligations (including leasing, tenancy and lease agreements) where the value of the obligation incurred or the disposition of a right does not exceed PLN 500,000 in a single legal transaction, independently. 2. To represent the company in matters referred to in paragraph 1 above, where the value of the obligation incurred or the disposition of a right exceeds PLN 500,000, joint action of two members of the management board acting jointly is required, provided that one of the representatives must be a member of the management board from Group A and the other a member of the management board from Group B (cross-representation). 3. In the case of entering into credit agreements, loan agreements, factoring agreements, agreements concerning treasury limits, sureties, guarantees and other financial instruments and instruments of a similar obligatory nature, to represent the company for amounts from PLN 0.00 to PLN 2,000,000, joint action of two members of the management board acting jointly on the basis of cross-representation is required (one member of the management board from Group A and one member of the management board from Group B). 4. In the case of financial agreements referred to in paragraph 3 above, with a value exceeding PLN 2,000,000, joint action of two members of the management board is required to represent the company, on the basis of cross-representation (one member of the management board from Group A and one member of the management board from Group B), acting exclusively on the basis of and within the limits of a prior resolution of the shareholders' meeting, under pain of the transaction being ineffective vis-à-vis the company. 5. In the case of periodic or continuing performances, the value of the transaction referred to in paragraphs 1, 2, 3 and 4 is the sum of the performances for a period of one year, and in the case of agreements concluded for a definite period shorter than one year, the sum of the performances for the entire term of the agreement.
