Manner of representation

To submit declarations of will on behalf of the foundation, including in matters concerning property, the following persons shall be authorised: 1. in the case of a one-person management board – the member of the management board independently; 2. in the case of a multi-member management board: in matters not exceeding PLN 10,000 gross in value – each member of the management board independently; in matters exceeding PLN 10,000 gross in value – two members of the management board acting jointly; for continuous or periodic agreements, e.g. lease agreements and employment/service contracts, the value of the obligation shall be determined as the sum of the performances for the entire term of the agreement, and in the case of agreements for an indefinite period – as the sum of the performances for a period of 12 months; in non-property matters, each member of the management board shall be authorised to represent the foundation individually.
