Manner of representation

A/ In the case of a one-person management board, the company is represented independently by the President of the Management Board, provided that in such a case a prior resolution of the meeting of partners is required in matters exceeding the scope of ordinary management, which are deemed to include: the acquisition, disposal of or encumbrance of real property; the acquisition, disposal of or encumbrance of the company's enterprise; taking out credits or loans; granting loans, sureties or guarantees; and the acquisition or disposal of fixed assets with a value exceeding PLN 10,000. B/ In the case of a multi-member management board, each member of the management board represents the company independently in matters of ordinary management, whereas in matters exceeding the scope of ordinary management listed in point A/, the company is represented by two members of the management board or one member of the management board and a commercial proxy acting jointly.
