Manner of representation

1. The right to represent the company is vested independently in each partner in matters not exceeding the scope of ordinary management. 2. In matters exceeding the scope of ordinary management of the company, two partners acting jointly are authorised to represent the company. 3. Matters exceeding the scope of ordinary management shall mean: - acquisition, disposal or lease of the enterprise or its organised part, and establishment of a limited property right thereon; - acquisition and disposal of real estate or a share in real estate, including the right of perpetual usufruct of real estate; - incurring credit, bill-of-exchange, cheque and loan liabilities, entering into lease, tenancy and leasing agreements and amending such agreements, as well as other transactions whose one-off value exceeds the equivalent of PLN 50,000 gross (fifty thousand zlotys).
