Manner of representation

1. Each partner is authorised to make declarations of will concerning property and non-property rights and obligations and to sign agreements and letters on behalf of the company falling within the scope of the company’s ordinary activities, independently. 2. In matters exceeding the scope of the company’s ordinary activities, the consent of: a) at least two partners, or b) one partner and an independent commercial proxy, or one partner and at least two joint commercial proxies, is required. 3. The company may be represented in external relations by an attorney-in-fact appointed by a unanimous resolution of the partners. Matters exceeding the scope of the company’s ordinary activities include in particular: 1. incurring obligations or disposing of a right with a value exceeding PLN 50,000.00 (in words: fifty thousand zlotys), 2. granting or incurring a loan, credit or guarantee.
