Manner of representation

The right to conduct the affairs of the company and represent it vis-à-vis third parties is vested in each general partner independently. The general partner may make declarations of will, sign documents and conclude agreements on behalf of the company. The general partner is KADAL spółka z ograniczoną odpowiedzialnością with its registered office in Chełm, which is represented by the management board. In the case of a management board composed of two or more persons, for making declarations on behalf of the company resulting in the disposal of a right whose value does not exceed the PLN equivalent of PLN 50,000 (fifty thousand zlotys), inclusive, or giving rise to an obligation to perform with a PLN equivalent of up to PLN 50,000 (fifty thousand zlotys), inclusive, each member of the management board and the commercial proxy is authorised to act independently. In the case of a management board composed of two or more persons, for making declarations on behalf of the company resulting in the disposal of a right whose value exceeds the PLN equivalent of PLN 50,000, or giving rise to an obligation to perform with a PLN equivalent above PLN 50,000 (fifty thousand zlotys), joint action of two members of the management board or one member of the management board together with a commercial proxy is required. The person authorised to represent the general partner is the President of the Management Board, Leszek Kowalski.
