Manner of representation

1. In the case of a one-person management board, a member of the management board acting independently or a commercial proxy acting independently, or an attorney-in-fact acting independently within the scope of authorisation, is authorised to submit declarations of will and sign documents on behalf of the company. 2. In the case of a multi-member management board, the following are authorised: a) the President of the Management Board independently in the case of disposing of a right or incurring an obligation to render a performance with a value of up to PLN 900,000.00; b) the President of the Management Board jointly with a Vice-President of the Management Board or a commercial proxy in the case of disposing of a right or incurring an obligation to render a performance with a value exceeding PLN 900,000.00. 3. If, before dealing with the matters referred to in points a) and b), even one of the remaining members of the management board objects to conducting the matter, a prior resolution of the management board is required.
