Manner of representation

The following persons are authorized to submit declarations and sign on behalf of the company: 1. in the case of a one-person management board – the sole member of the management board: a. the sole member of the management board independently in the scope of the company's non-property rights and obligations and in the scope of property rights and obligations up to PLN 500,000.00, if they arise from the subject of the company's predominant activity (PKD 46, 31, Z), and up to PLN 50,000.00 in other cases; b. the sole member of the management board jointly with a commercial proxy in the scope of property rights and obligations arising from the subject of the company's predominant activity (PKD 46, 31, Z) exceeding PLN 500,000.00, and in other cases exceeding PLN 50,000.00; 2. in the case of a multi-member management board: a. each member of the management board independently to submit declarations concerning the company's non-property rights and obligations and concerning property rights and obligations up to PLN 50,000.00 (fifty thousand zlotys); b. all members of the management board jointly to submit declarations concerning property rights and obligations exceeding PLN 50,000.00 (fifty thousand zlotys); c. all members of the management board jointly to submit declarations concerning the disposal or lease of the enterprise or its organized part and the establishment thereon of a limited right in rem, as well as the acquisition, disposal and encumbrance with a limited right in rem of real property, perpetual usufruct or a share in real property or perpetual usufruct, regardless of their value.
