Manner of representation

Pursuant to the articles of association, the partners are authorised to conduct all the affairs of the company and to represent the company; consequently, each partner is authorised to receive declarations made by third parties. In matters exceeding the scope of the ordinary activities of the company, a unanimous resolution of all the partners of the company is required. Each partner authorised to represent the company may, without a resolution, undertake an act exceeding the scope of the ordinary activities of the company, the omission of which could cause serious harm to the company. By resolution, the partners may authorise one of them to independently conduct a specific matter or matters exceeding the scope of the ordinary activities of the company.
