Manner of representation

I. Joint decisions of directors: the principle is that directors' decisions must be adopted by a majority of votes at the relevant meeting. If: A) the company has only one director, and B) no provision of the articles requires the appointment of more than one director, then the company's director has the right to make decisions without complying with the provisions contained in the articles concerning decision-making by directors. II. Unanimous decisions 1. A decision of the directors is adopted unanimously when all authorised directors confirm to one another, by any means, that they share the same opinion on the matter in question. 2. Such a decision may take the form of a written resolution, copies of which have been signed by each authorised director, or which has been approved in writing in any other manner by each authorised director. 3. References in this article to authorised directors concern directors who would be entitled to vote on the matter if it were presented in the form of a resolution during a meeting of the directors. 4. A decision may not be adopted pursuant to this article if the authorised directors do not constitute a quorum during such meeting.
