Manner of representation

The foundation's management board may be a one-person management board or a multi-member management board, but it consists of no more than five persons. The founder appoints the composition of the management board. The founder appoints and dismisses the President and the Vice-President of the management board. A one-person management board is formed by the President of the foundation's management board. Members of the management board are appointed for an indefinite term. The foundation's management board may appoint, as its advisory body, a programme committee composed of persons involved in the achievement of the foundation's objectives. Members of the management board receive no remuneration for performing their functions, but they are entitled to reimbursement of expenses incurred by them in performing their functions for the foundation. Members of the management board may be awarded financial or in-kind awards by the council. The foundation's management board adopts resolutions by a simple majority of votes, provided that the validity of a resolution requires the presence of at least half of its members, including the President or the Vice-President of the management board. Abstentions are considered votes not cast. In the event of an equal number of votes, the President's vote decides, and in the President's absence, the vote of the Vice-President of the management board decides. In the case of a multi-member management board, declarations of will on behalf of the foundation are made by two members of the management board, including the President and the Vice-President of the management board.
