Manner of representation
1. Declarations of will on behalf of the foundation, including incurring liabilities and disposing of a right with a gross value not exceeding PLN 20,000.00 (in words: twenty thousand zlotys), may be made by each member of the management board independently. 2. Declarations of will in transactions concerning incurring liabilities and disposing of a right with a gross value exceeding PLN 20,000.00 (twenty thousand zlotys 00/100) require the joint action of two members of the management board acting jointly. 3. The transaction referred to in section 2 also requires a prior resolution of the management board adopted in accordance with the procedure specified in § 20 of the articles of association. 4. Prior unanimous resolution of the management board is always required for taking out loans and credits, issuing bills of exchange, encumbering the foundation's assets with a mortgage or pledge, and acquiring and disposing of real estate.
