Manner of representation

In a multi-member management board, submitting declarations of will on behalf of the foundation requires the action of two members of the management board jointly, or a member of the management board together with an attorney-in-fact acting within the scope of the power of attorney granted to them. For submitting declarations of will on behalf of the foundation concerning the acquisition of rights or the incurring of obligations up to PLN 5,000, each member of the foundation’s management board is authorised to act independently. Each member of the foundation’s management board is authorised to certify the foundation’s documents independently. Attorneys-in-fact acting independently within the scope of their authority may be appointed for individual acts or acts of a specified type. The following acts require a unanimous resolution of the management board: the foundation incurring obligations exceeding PLN 50,000 in a single transaction, and concluding employment contracts with the foundation’s employees.
