1. A declaration of will on behalf of the foundation, including in matters concerning the incurring of property liabilities up to PLN 5,000, is made by the President of the Management Board independently. Each member of the management board is authorised to make declarations of will in the foundation independently. 2. Property and non-property liabilities exceeding PLN 5,000 are incurred on behalf of the foundation by the management board in the form of a resolution by an absolute majority of votes, or unanimously with all members present, or by a majority of two-thirds of the members of the management board. 3. Non-property liabilities of the foundation and property liabilities up to an amount not exceeding PLN 50,000 require the prior adoption of a resolution of the management board by an absolute majority of votes, or unanimously with all members present, or by a majority of two-thirds of the members of the management board. 4. The incurring of property liabilities exceeding PLN 50,000 requires the prior adoption of a resolution of the management board, and then the validity of declarations of will requires the signatures of two members of the management board, including the President and the Vice-President. 5. Resolutions of the management board are adopted by an absolute majority of votes, or unanimously with all members present, or by a majority of two-thirds of the members of the management board. 6. Resolutions of the management board are adopted by open voting.
