Manner of representation

The general rule concerning the making of decisions by the directors is that each decision of the directors must be made by a majority of votes at a meeting or in the form of a written resolution of the directors in accordance with Article 8 (written resolutions of the directors), or otherwise as a unanimous decision made in accordance with Article 7 (unanimous decision). If the company currently has only one director and no provision of the articles requires it to have more than one director, the general rule does not apply, and the director may, for as long as he or she remains the sole director, make decisions regardless of any provision of the articles concerning the making of decisions by the directors.
