Manner of representation

In the case of a multi-member management board, each member of the management board has the right to dispose of a right or incur obligations to provide a performance and to represent the company individually externally in property and non-property matters and to submit declarations of will on behalf of the company; however, in matters involving obligations with a value exceeding 30,000.00 złoty, joint action by two members of the management board, including always the President of the Management Board, is required. If the management board is a one-person management board, the President of the Management Board is entitled to independently submit declarations and sign on behalf of the company.
